1. Introduction

At Forty Two Inc. (“Forty Two”), we are committed to conducting business with integrity, respect, and responsibility. This Supply Chain Code of Conduct (“Code”) sets forth the standards we expect from our suppliers, vendors, contractors, and business partners (“Suppliers”) in areas including labor practices, health and safety, environmental stewardship, and ethical conduct.

2. Labor and Human Rights

2.1 Fair Treatment
Suppliers must treat all workers with respect and dignity. Harassment, discrimination, and abusive practices are strictly prohibited.

2.2 No Forced or Child Labor
All labor must be voluntary. Suppliers shall not engage in any form of forced, bonded, or child labor.

2.3 Working Hours and Wages
Suppliers must comply with applicable laws regarding working hours, wages, and benefits. Overtime should be voluntary and compensated accordingly.

2.4 Freedom of Association
Suppliers shall respect the rights of workers to associate freely, join labor unions, and engage in collective bargaining in accordance with local laws.

3. Health and Safety

3.1 Safe Working Environment
Suppliers must provide a safe and healthy workplace, complying with all applicable health and safety laws and regulations.

3.2 Emergency Preparedness
Suppliers should have emergency plans in place, including procedures for fire, medical emergencies, and natural disasters.

3.3 Sanitation and Housing
Where applicable, Suppliers must provide clean and safe facilities, including access to potable water, sanitary restrooms, and, if housing is provided, safe and clean accommodations.

4. Environmental Responsibility

4.1 Compliance with Environmental Laws
Suppliers must comply with all applicable environmental laws and regulations.

4.2 Resource Conservation
Suppliers are encouraged to minimize waste, conserve resources, and reduce environmental impact through sustainable practices.

4.3 Hazardous Materials
Suppliers must handle and dispose of hazardous materials responsibly and in accordance with applicable laws.

5. Ethical Business Conduct

5.1 Anti-Corruption
Suppliers must not engage in any form of bribery, corruption, extortion, or embezzlement.

5.2 Intellectual Property
Suppliers shall respect intellectual property rights and protect confidential information.

5.3 Accurate Records
All business dealings should be transparently performed and accurately recorded in Suppliers’ books and records.

5.4 Conflict Minerals
Suppliers must ensure that products supplied to Forty Two do not contain conflict minerals that finance or benefit armed groups.

6. Compliance and Monitoring

6.1 Compliance with Laws
Suppliers must comply with all applicable local, national, and international laws and regulations.

6.2 Audits and Assessments
Forty Two reserves the right to assess Suppliers’ compliance with this Code through audits or assessments.

6.3 Reporting Violations
Suppliers must promptly report any known or suspected violations of this Code to Forty Two.

7. Enforcement

Failure to comply with this Code may result in corrective action, including termination of the business relationship.
