1. Scope and Acceptance
1.1 This Software End-User License Agreement (“Agreement”) is a binding contract between Forty Two Inc. (“Forty Two,” “we,” “us,” or “our”) and you (“Licensee” or “you”). By downloading, installing, or using any software provided by Forty Two (the “Software”), you agree to be bound by this Agreement.
1.2 If you do not agree to the terms of this Agreement, do not download, install, or use the Software.
2. Definitions
“Software” refers to all software programs, applications, and related materials provided by Forty Two, including updates, enhancements, and documentation.
“Documentation” means all user manuals, technical manuals, and other materials provided by Forty Two that describe the Software.
“Device” refers to any hardware product provided by Forty Two on which the Software is installed.
3. License Grant
3.1 Subject to the terms of this Agreement, Forty Two grants you a non-exclusive, non-transferable, non-sublicensable, limited license to use the Software solely for your internal business purposes in connection with the operation of the Device.
3.2 You may make one copy of the Software for backup or archival purposes, provided that all proprietary notices are retained.
4. Restrictions
You shall not:
Modify, adapt, or create derivative works of the Software.
Reverse engineer, decompile, or disassemble the Software.
Rent, lease, lend, sell, sublicense, assign, distribute, or otherwise transfer the Software to any third party.
Remove, alter, or obscure any proprietary notices on the Software or Documentation.
5. Ownership
The Software is licensed, not sold. Forty Two retains all rights, title, and interest in and to the Software and Documentation, including all intellectual property rights.
6. Updates
Forty Two may provide updates or enhancements to the Software. This Agreement applies to all such updates unless accompanied by a separate license.
7. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term(s). Upon termination, you must cease all use of the Software and destroy all copies.
8. Disclaimer of Warranties
The Software is provided “AS IS” without warranty of any kind. Forty Two disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
In no event shall Forty Two be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Software, even if advised of the possibility of such damages.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.
